Exply Terms of Service
Introduction
At Exply (AtWork Corp. a Delaware Corporation), a cloud-based Applicant Tracking
System (ATS) platform designed to help organizations streamline their hiring
processes. By using our platform, you agree to be bound by these Terms of
Service, which are intended to protect the interests of both us and our
customers.
Definitions
- Customer: means the individual or organization that has subscribed to use
our ATS platform.
- Data: refers to any personal information, resumes, cover letters, and
other application materials submitted through our platform.
- Intellectual Property: includes all trademarks, trade secrets, patents,
copyrights, and other intellectual property rights.
Ownership of Data
Each Customer retains ownership of their Data and controls how it is used. We
only process and store Data on behalf of our Customers in accordance with their
instructions.
Usage Rules
- Limited License: We grant each Customer a limited license to use our ATS
platform, subject to these Terms of Service.
- Purpose: The purpose of our ATS platform is to facilitate hiring
processes for our Customers. Our Customers may not use our platform for any
other purposes.
- User Conduct: Each Customer agrees to use our platform in accordance with
all applicable laws and regulations.
Services
- ATS Platform: We provide a cloud-based ATS platform that enables
Customers to manage job postings, track applicant submissions, and streamline
their hiring processes.
- Data Processing: We process and store Data on behalf of our Customers,
using industry-standard security measures to protect against unauthorized
access, use, or disclosure.
Google Analytics and Other Tracking Services
We may use Google Analytics and other tracking services to analyze usage
patterns and trends on our platform. This information is anonymized and
aggregated, and we do not collect any personal information through these
services.
AWS Infrastructure
Our ATS platform runs on Amazon Web Services (AWS), a leading cloud
infrastructure provider. AWS ensures the security and availability of our
platform and Data.
GDPR and CCPA Compliance
We are committed to complying with the General Data Protection Regulation (GDPR)
and the California Consumer Privacy Act (CCPA). We have implemented procedures
to ensure that we only process personal information in accordance with these
regulations.
Intellectual Property Rights
- Ownership: Our company retains ownership of all Intellectual Property
rights related to our ATS platform, including but not limited to patents,
copyrights, trademarks, and trade secrets.
- License: We grant each Customer a non-exclusive license to use our
platform, subject to these Terms of Service.
Warranty and Liability
- Warranty: We warrant that our ATS platform will be free from defects in
materials and workmanship for a period of one (1) year from the date of
initial subscription.
- Liability: In no event shall we be liable for any damages, including but
not limited to lost profits or business opportunities, resulting from the use
of our ATS platform.
Term and Termination
- Term: These Terms of Service will remain in effect until terminated by
either party upon thirty (30) days' written notice.
- Termination: Upon termination, we will delete all Customer Data and
terminate all access to our platform.
Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the
laws of the State of California, United States of America. Any disputes arising
from these Terms of Service will be resolved through binding arbitration in the
State of California.
Amendments
We reserve the right to modify or amend these Terms of Service at any time
without notice. By continuing to use our ATS platform, Customers agree to be
bound by any such modifications or amendments.
Entire Agreement
These Terms of Service constitute the entire agreement between us and each
Customer regarding the use of our ATS platform. Any prior agreements or
understandings are hereby superseded and replaced by these Terms of Service.
By using our ATS platform, Customers acknowledge that they have read,
understood, and agreed to be bound by these Terms of Service.
